Terms of work
How working together runs: quotes, payment, who owns the code, and the rules for this website.
1.Who these terms cover
HS is the trading name of Hansraj Saini, a sole proprietor based in Jaipur, Rajasthan, India. In these terms, "I" and "me" mean Hansraj Saini, and "you" means the person or company hiring me.
These terms apply to every project, audit and monthly plan, alongside the written quote or proposal for that piece of work. If you and I sign a separate contract that says something different, the signed contract wins on that point.
The last section covers anyone using this website, whether or not you hire me.
2.Scope and fixed quotes
Before any work starts, I send you a written quote that says what I'll do, what you'll get, the price and the rough timeline. Work starts once you accept it in writing (an email reply is enough).
The price in the quote is fixed for that scope. If you ask for something outside it, or the scope changes once we're underway, I'll quote the change separately and only do it once you agree.
Timelines are estimates in good faith. If something outside my control holds the work up, such as waiting on access, feedback or a third-party service, the timeline moves with it.
3.Payment
- Audits are paid in full upfront.
- Projects are paid 50% upfront and 50% on delivery. Bigger projects can be split into milestones instead, as set out in the quote.
- Monthly care plans are billed monthly in advance. You can cancel any month by telling me before the next billing cycle starts.
Invoices are in US dollars and due within 7 days. Any bank or transfer fees on your side are yours to cover.
If an invoice is overdue, I pause the work until it's paid and tell you before I do. Upfront payments cover time I reserve for you, so they aren't refundable once the work has started, unless I fail to deliver what the quote says.
4.Code and IP ownership
In short: what I make for you is yours, once you've paid for it.
- You own all the code, designs, documents and other deliverables I make for you, once the invoice for that work is paid in full.
- Ownership, including copyright and other intellectual property rights, passes to you on payment. I'll sign anything reasonable you need to record that.
- Until the invoice is paid, you have a licence to use the work, for example to test it or run it in production.
- I keep the tools, snippets, templates and know-how I had before your project or build in general. Where any of it ends up in your deliverables, you get a perpetual, royalty-free licence to use, change and keep it as part of your product, with no extra fee.
- Open-source libraries in the work stay under their own licences. I avoid licences that would stop you using your product commercially, and I'll tell you about any you should know about.
- I only mention your project in my portfolio, case studies or social posts with your written permission. Anything under an NDA, I never mention.
5.Confidentiality
Everything you share with me, including code, data, plans, numbers and credentials, is treated as confidential by default, even if we haven't signed an NDA. I use it only to do the work, and I don't share it with anyone else.
If you'd like it in writing before you share anything, I'm happy to sign an NDA: mine (on the NDA page) or yours.
This doesn't cover things that are already public, that I already knew, or that the law requires me to disclose. If the law requires a disclosure, I'll tell you first where I'm allowed to.
6.Access and security
To do the work I usually need access to your code repository, hosting, database or other services. Please give me the least access that does the job, for example read-only for an audit, and a separate account or key for me rather than your own.
I keep credentials in a password manager, never in code, chats or shared documents, and I don't copy your users' personal data to my machine unless the work requires it.
When the work ends, I hand back or remove my access, and I delete my copies of your credentials and code. If you'd like a written confirmation, ask and I'll send one.
7.What I need from you
- Access, content and feedback when the work needs them, so it can keep moving.
- One person who can make decisions and sign off on the work.
- The right to the material you give me, such as code, images, text and data, and confirmation that I can use it for the work.
- Backups of anything important before I make changes to a live system.
- Final checks before anything goes live. You decide what ships.
8.Fixes after delivery
For 30 days after I deliver a piece of work, I fix defects in my own work for free. A defect means it doesn't do what the quote said it would.
This doesn't cover new features, changes someone else made after delivery, or problems caused by third-party services, hosting or tools outside my work. I'm still happy to help with those, quoted separately or as part of a monthly plan.
9.What I can't promise
I do careful, honest work, and an audit tells you what I found. But I can't guarantee specific search rankings, traffic, revenue, sign-ups or uptime, and no review can promise that every possible security issue has been found. Those depend on things outside my control, like search engines, markets, your users and other providers.
10.Limits of liability
If something goes wrong because of my work, my total liability is limited to the fees you paid me in the 3 months before the claim, for the work in question.
I'm not liable for indirect or knock-on losses, such as lost profits, lost data or lost business. Nothing in these terms limits liability that can't be limited by law, such as for fraud.
11.Third-party services
Your product will rely on services I don't run, such as hosting, databases, payment providers, app stores and AI models. Their own terms and prices apply, the accounts should be in your name, and I'm not liable for their outages, changes or costs.
12.Ending the work
Either of us can end a project or plan with 7 days' written notice, for any reason. You pay for the work done up to the end date, and I hand over everything finished or in progress that you've paid for.
If either of us seriously breaks these terms and doesn't put it right within 7 days of being asked, the other can end the work straight away.
The sections on ownership, confidentiality, liability and disagreements keep applying after the work ends.
13.Independent contractor
I work for you as an independent contractor, not as an employee, partner or agent. I set my own hours and tools and handle my own taxes. Neither of us can sign anything on the other's behalf.
14.Disagreements and governing law
If something isn't working, tell me. Most problems are solved by a direct conversation, and I'll always try that first.
If talking doesn't settle it, these terms are governed by the laws of India, and the courts at Jaipur, Rajasthan have jurisdiction. If you need a different jurisdiction for a bigger project, raise it before we start and we can agree it in the contract.
15.Using this website
This website and everything on it is provided as is, for general information. I keep it accurate, but it isn't professional advice for your situation, and prices on it are starting points until I quote in writing.
Links to other websites are there for convenience. I don't control those sites and I'm not responsible for them.
Please don't misuse the site: no attempts to break in, overload it, scrape it at scale or send spam through the forms or chat. The text, design and films on the site are mine unless marked otherwise.
16.Changes to these terms
I may update these terms. The date at the top shows when they last changed. Work already agreed stays under the terms you accepted, unless we both agree otherwise.
